Paul DiFilippo is the President and Managing Director at DiFilippo Corporate Finance Group, LLC. Paul specializes in the valuation of equity securities, including common stock and preferred stock, derivative instruments, intangible assets, and debt securities, having performed these valuations for mergers and acquisitions, financial reporting, tax, joint ventures, financing, and litigation support purposes. Paul has extensive experience performing merger & acquisition related engagements. He has led buy side advisory teams on transactions ranging from $10 million to multi-billion dollar transactions. His services in this area include valuation of the business enterprise of target companies, creating accretion/dilution models to assess EPS effects of various transaction structures and purchase price scenarios, performing ASC 805-10 purchase price allocations, measuring the effects of synergies/dissynergies, carve-out transactions, and valuation of product lines.

Prior to forming DiFilippo Corporate Finance Group, Paul was a Vice President and Shareholder at Caturano and Company, PC, a Senior Director at Kroll and a senior manager in Ernst & Young LLP’s Transaction Advisory Services Practice, where he worked in the Strategic Finance and Valuation practice. He joined Ernst & Young from Arthur Andersen LLP, where he worked in their Global Corporate Finance practice.

Caitlin Jacques, CPA, CVA, CFE

Caitlin Jacques is a Managing Director at DiFilippo Corporate Finance Group, LLC. She has over 15 years of broad financial services experience in business valuation and consulting, audit and general finance. Caitlin has performed valuations of businesses, business interests, financial instruments, and intangible assets for financial accounting and public reporting. Her financial reporting experience includes purchase price allocations pursuant to ASC 805, Step 1 and Step 2 impairment testing pursuant to ASC 350 and valuations of stock-based compensation related to ASC 718. Caitlin has extensive experience valuing complex transactions for identified intangible assets. Additionally, Caitlin has performed gift and estate tax valuations for Limited Liability Companies (LLCs) and Family Limited Partnerships (FLPs).

Caitlin started her career at Arthur Andersen and then spent five years in the assurance practice at RSM (formerly Vitale, Caturano & Company) performing audits of both private and public companies and specialized in manufacturing, distribution and technology companies. She then transitioned to the business valuation practice at RSM, where she spent four years performing and reviewing valuations related to financial accounting. Caitlin also participated in Sarbanes-Oxley Section 404 compliance projects and worked with international clients developing risk assessments, control analysis and process documentation. Caitlin has experience providing a broad range of due diligence work for her audit clients, including valuations in connection with mergers and acquisitions. Caitlin was also a finance manager at Bain Capital, LLC for two years, where she worked on financial modeling for various funds.

Ellen Patnode

Ellen Patnode serves as a Senior Director at DiFilippo Corporate Finance Group, LLC. With 10 years of business valuation experience, Ellen specializes in the valuation of common and preferred stock, options/warrants, partnership and limited liability company interests, Level 3 assets, goodwill impairment analysis and purchase price allocations. Further, she has performed several notable private company stock valuations for clients that have completed the S-1 registration process. Ellen has performed valuations for diverse array of industries, including pharmaceutical, biotechnology, medical device, food & beverage, business service and high-technology. Her expertise is primarily focused on financial reporting and tax reporting requirements related to stock-based compensation, acquisitions, divestitures, joint venture formations and impairment testing.

Prior to joining the DiFilippo Corporate Finance Group, Ellen was a Manager of Portfolio Administration for a middle-market Private Equity firm with a managed portfolio of assets over $3.3 billion. As the Manager of Portfolio Administration, she was responsible for the daily portfolio administration of private equity investments, developed quarterly limited partner internal rate of return performance metrics, preformed quarterly and annual fair value assessments of partnerships, preferred and common equity interests for privately held portfolio companies. Prior to her career in private equity, Ellen was a member of Ernst & Young LLP’s Transaction Advisory Services Group where she executed a variety of valuations for tax and financial reporting compliance.

Lynn Joyce

Lynn H. Joyce is a Managing Director at DiFilippo Corporate Finance Group, LLC. She specializes in the valuation of business enterprises, intangible assets, and equity securities for a variety of purposes, including financial accounting and public reporting, corporate tax planning, mergers and acquisitions, strategic planning, gift and estate tax planning, and litigation support. She has performed valuations for privately-held, pre-revenue companies, family limited partnerships, as well as publicly traded companies. Lynn’s financial reporting experience includes assignments for ASC 805 purchase price allocations, ASC 350 and ASC 360 impairment testing, and ASC 718 valuation of stock-based compensation. Her tax-related work encompasses valuations performed in connection with the valuation of securities issued as equity compensation to employees as well as a multitude of valuations performed for gift and estate purposes.

Prior to joining the DiFilippo Corporate Finance Group, Lynn was a manager in RSM US LLP’s valuation practice. Lynn was also formerly an associate with Willamette Management Associates, where she was responsible for a broad range of valuation and financial advisory engagements.

John O’Brien, MBA, CVA

John O’Brien is a Managing Director at DiFilippo Corporate Finance Group, LLC. John specializes in the valuation of equity securities, including common stock and preferred stock, derivative instruments, intangible assets, and debt securities, having performed these valuations for mergers and acquisitions, financial reporting, tax and joint ventures and corporate financings. John specializes in the valuation of equity securities of privately-held companies. He has valued enterprises with revenues ranging from pre-revenue to billions of dollars. He specializes in dealing with entities with complex capital structures. John has also performed numerous valuations for ASC 805-10 purchase price allocations, measuring the effects of synergies/dissynergies, carve-out transactions, and valuation of product lines.

Prior to joining the DiFilippo Corporate Finance Group, John was the Director of Valuations for a regional CPA firm where he was responsible for the management of the overall practice in addition to his duties of performing business valuations. Prior to his career in business valuation, John had a successful corporate finance career as the Chief Financial Officer of businesses ranging from heavy construction to money management. John has worked as a senior corporate finance executive with companies ranging from early stage of development to mature enterprises in turnaround situations. John began his corporate finance career working in Fidelity Investments venture capital group.

In the late 1980’s, prior to his corporate finance career, John spent three years managing submarine sandwich shop. He went on to own and operate it for two years before successfully selling his interest to his business partner. Later in his career, he started and owned a pizza and submarine sandwich shop before returning to corporate finance.

Leslie Napoli, CPA

She has 14 years of broad financial services experience in business valuation and consulting, technical accounting, audit and general finance. Leslie has performed valuations of businesses, business interests, financial instruments, and intangible assets for financial accounting and public reporting. Additionally, Leslie has technical accounting experience related to transactions that require consideration of various accounting literature, including revenue recognition, lease accounting, fair value accounting, accounting for debt and equity, collaboration agreements and business combinations, among others.

Leslie spent the first ten years of her career in the commercial services audit group at Ernst & Young LLP. At EY, Leslie performed audits of both private and public companies and specialized in biotechnology, pharmaceutical, medical device, semiconductor, manufacturing, distribution and technology companies. Additionally, Leslie served as an auditor on various clients that completed significant transactions including initial public offerings, mergers, acquisitions, divestitures and collaboration agreements. Leslie also participated in Sarbanes-Oxley Section 404 compliance projects and worked with international clients developing risk assessments, control analysis and process documentation. Leslie was also the Global Accounting Policy Manager at Iron Mountain, Inc. where her responsibilities included development and application of international accounting policies, including revenue and leasing.

During her career she has held various finance roles for financial services and manufacturing companies, assisting in internal operations and financial planning and analysis. She also spent 3 years at BDO USA LLP’s valuation practice.

Jordan started his career at KPMG LLP performing financial statement audits of both private and public companies. He then transitioned to the business valuation consulting practice at KPMG, where he spent five years performing and reviewing valuations for public, private, and large multinational corporations. Jordan has experience providing a broad range of financial consulting services for clients, including valuations, transfer pricing analyses, and various services in connection with mergers and acquisitions.
